Terms of Use & End User License Agreement: The Guildhall

Please read these Terms of Use and End User License Agreement ("Terms") carefully before downloading, installing, or using The Guildhall ("the App"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Acceptance & Eligibility

By using the App you confirm that:

  1. You are at least 13 years old. If you are between 13 and the age of majority in your jurisdiction, you represent that you have obtained the consent of a parent or legal guardian to use the App.
  2. You have the legal capacity to enter into a binding agreement.
  3. Your use of the App complies with all applicable laws in your jurisdiction.

We reserve the right to refuse service to anyone for any reason at any time, consistent with applicable law.

2. License Grant

Subject to these Terms, Tinkavu LLC ("we", "us", "our") grants you a personal, non-exclusive, non-transferable, revocable, limited license to:

  • Download, install, and use the App on devices you own or control.
  • Use the App solely for your personal, non-commercial purposes.

This license does not include any right to sublicense, sell, resell, transfer, assign, or otherwise exploit the App or any portion of it.

3. License Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
  • Copy, modify, adapt, translate, or create derivative works based on the App or its content.
  • Sell, rent, lease, sublicense, or transfer the App or any rights to it.
  • Remove, alter, or obscure any proprietary notices, labels, or branding in the App.
  • Use the App in any manner that could impair, overburden, or damage our servers or networks.
  • Circumvent or attempt to circumvent any technical measure we use to control access to features or data.
  • Scrape, crawl, index, or systematically extract any data from the App or its backend services by automated means.
  • Attempt to access accounts, databases, or systems you are not authorized to access.

4. Acceptable Use

You agree to use the App only for lawful purposes and in a manner consistent with these Terms. Specifically, you may not use the App to:

  • Violate any applicable local, national, or international law or regulation.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Harass, threaten, defame, or harm other users. The Player Finder is designed to help players connect; it must not be used to stalk, spam, or contact users who have not consented.
  • Submit content that is defamatory, obscene, hateful, racially or ethnically offensive, or otherwise objectionable.
  • Upload, transmit, or distribute malware, viruses, or any other malicious code.
  • Engage in any conduct that interferes with another user's quiet enjoyment of the App.
  • Use the App to gain any commercial advantage, monetize game content belonging to Paizo Inc. or its licensors, or conduct any transaction that would violate Paizo Inc.'s intellectual property rights, its Community Use Policy, or the terms of any permission granted by it.
  • Submit false, malicious, or harassing conduct reports, or otherwise misuse the community reporting and moderation features.

We may remove content that violates these rules and may suspend or terminate accounts of users who breach them.

5. User-Generated Content

The App allows you to submit user-generated content ("UGC"), including display names, character names, campaign names and notes (sessions, NPCs, quests, encounters, journals, party rosters), Player Finder contact handles, club names and descriptions, and play-location details.

You retain all rights you hold in your UGC. By submitting UGC, you grant Tinkavu LLC a worldwide, non-exclusive, royalty-free license to store, display, and use that content within the App and its backend services solely for the purpose of operating and providing the App to you and other users. We will not use your UGC for any other purpose.

You represent and warrant that:

  • You have the right to submit the content.
  • The content does not infringe any third-party intellectual property rights, privacy rights, or other legal rights.
  • The content complies with these Terms.

Sharing. If you share a character or campaign (through a share code, a public link, or your own Google Drive), the content you share becomes accessible to anyone who has that code or link until you revoke the share or delete the underlying file or record. Share only content you are comfortable making accessible to those recipients.

We reserve the right to remove content that violates these Terms. Repeated violations may result in account suspension or termination.

6. Fan-Made App & Intellectual Property Disclaimer

The Guildhall is an unofficial, fan-made companion application for the Pathfinder Second Edition roleplaying game. It is not affiliated with, endorsed by, or sponsored by Paizo Inc.

The Guildhall uses trademarks and/or copyrights owned by Paizo Inc., used under Paizo's Community Use Policy (paizo.com/licenses/communityuse). We are expressly prohibited from charging you to use or access this content. The Guildhall is not published, endorsed, or specifically approved by Paizo Inc. For more information about Paizo Inc. and Paizo products, visit paizo.com.

Pathfinder trademarks, trade names, game rules, monster and spell names, artwork, and related intellectual property are the exclusive property of Paizo Inc. and its licensors. Reference to these trademarks and game content in the App is for fan informational and game-companion purposes only. Nothing in these Terms grants you any rights in the intellectual property of Paizo Inc.

Tinkavu LLC owns the App's source code, original user interface design, branding ("The Guildhall"), and any original written content it has created.

If you are the owner of intellectual property that you believe has been included in the App without authorization, please contact us at info@guillotine-life.com.

7. Third-Party Services

7.1 General. The App integrates third-party services, some of which are engaged only if you opt into the relevant feature: Supabase (database and authentication), Google and Discord (optional sign-in), optional Google Drive (backup, restore, and sharing), optional AI providers (Anthropic, OpenAI, or Google Gemini), OpenStreetMap Nominatim and OpenFreeMap (used only for the store finder, described in Section 7.4), and Pathbuilder 2e (optional character import). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the content, practices, or policies of any third-party service, and integration with a third-party service does not constitute our endorsement of it.

If you choose to sign in via Google or Discord, that connection is governed by the respective provider's terms of service. You may revoke Google OAuth authorization at any time at myaccount.google.com/permissions, and Discord authorization via your Discord account settings.

7.2 Google Drive. If you connect Google Drive, the App uses the narrow drive.file scope and can access only the files it creates in a "The Guildhall" folder in your own Drive. Backups and shared files you create live in your Drive, under your control, not on our servers. If you use a share feature that produces a public link, the App marks that file as viewable by anyone with the link so another player can import it; you can unshare it or delete it from your Drive at any time. You may disconnect Drive in Settings or revoke access entirely at myaccount.google.com/permissions.

7.3 AI features (bring your own key). The App's optional AI features (such as the build advisor, session recaps, and content generation) are off until you add your own API key for a supported provider (Anthropic, OpenAI, or Google Gemini). Your key is stored on your device. When you invoke an AI feature, the relevant text (for example, a character-build summary or session notes) and your key are sent over an encrypted connection to a proxy function we operate, which forwards the request to the provider you selected and does not retain your key. Your prompts and results are processed by that provider under its own terms and privacy policy. You are responsible for your use of your own API key, for any charges the provider bills you, and for not submitting content you are not comfortable sending to that provider. We do not warrant the accuracy, legality, or rules-correctness of AI-generated output; treat it as suggestions only.

7.4 Store finder and location. The store finder is optional. When you tap to find nearby stores, the App reads your device's approximate location to sort stores by distance; the coordinates are used only for that lookup and are not stored. If you search by postal code, that code is sent to OpenStreetMap's Nominatim service for geocoding, and the store map loads tiles from OpenFreeMap. We do not use your location for advertising or tracking. Store, club, and event information shown in the App may be user- or operator-submitted and is provided without warranty as to its accuracy.

8. No Subscriptions or Payments

The App is free to download and use. There are no in-app purchases, subscriptions, or paid features at this time. If we introduce paid features in the future, we will update these Terms and clearly disclose all pricing and billing terms before any purchase.

9. Privacy

Your use of the App is also governed by our Privacy Policy, available at https://ddguildhall.com/apps/pathfinder/privacy. The Privacy Policy is incorporated into these Terms by reference.

10. Disclaimers of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY GAME DATA, RULES REFERENCES, STAT BLOCKS, SPELL DESCRIPTIONS, OR OTHER CONTENT IN THE APP.

Game data in the App is sourced from publicly available Paizo Inc. materials and may not reflect the most recent printings, errata, or rules updates. Always refer to the official Paizo Inc. publications for authoritative rules.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TINKAVU LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • LOSS OF DATA, CHARACTERS, CAMPAIGNS, PROFITS, REVENUES, GOODWILL, OR BUSINESS OPPORTUNITIES.
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $10.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability; in those jurisdictions our liability is limited to the greatest extent permitted by law.

12. Termination

By you: You may stop using the App at any time. To delete your account and associated cloud data, email info@guillotine-life.com or use the self-service web form at https://ddguildhall.com/remove-my-information?app=pathfinder. Uninstalling the App removes on-device data but does not delete your account data stored in the cloud.

By us: We may suspend or terminate your access to the App at any time, with or without notice, if we determine that you have breached these Terms, if required by law, or if we discontinue the App.

Effect of termination: On termination of your license, your right to use the App ceases immediately. The following sections survive termination and remain in full force: Section 3 (License Restrictions), Section 5 (User-Generated Content, including the license you granted, which remains for content retained consistent with our Privacy Policy), Section 6 (IP Disclaimer), Section 10 (Disclaimers), Section 11 (Limitation of Liability), Section 12 (Termination, including this sentence), Section 13 (Governing Law), and Section 14 (General).

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the App that is not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Cobb County, Georgia.

Before initiating any formal proceeding, we encourage you to contact us at info@guillotine-life.com to attempt to resolve the dispute informally. We will make a good-faith effort to resolve any complaint or dispute within 30 days.

Nothing in this section limits your rights to bring claims before a consumer protection authority or supervisory authority in your jurisdiction.

14. General

  • Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Tinkavu LLC regarding the App and supersede any prior agreements on the same subject.
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
  • Assignment: We may assign these Terms or any rights under them without your consent. You may not assign these Terms.
  • No third-party beneficiaries: These Terms do not create any third-party beneficiary rights, except as expressly stated (see §6 regarding the retained intellectual property rights of Paizo Inc.).

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will:

  1. Update the "Last updated" date at the top.
  2. Post a notice within the App on the first launch after the updated Terms take effect.

Your continued use of the App after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the App and request deletion of your account.
